Welcome to ServiceHawk AI. These Terms of Service ("Terms") govern your access to and use of the services, website, and technology provided by Service Hawk Systems LLC, doing business as ServiceHawk AI ("we," "us," or "our") at servicehawkai.com. By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing our website, submitting a contact form, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.
We reserve the right to modify these Terms at any time. Continued use of our services after any modifications constitutes your acceptance of the updated Terms.
2. Description of Services
ServiceHawk AI provides AI-powered automation solutions for businesses, including but not limited to:
- AI Voice Agents: Automated phone answering, lead qualification, and appointment scheduling
- AI Chatbots: Website chat automation for visitor engagement and lead conversion
- Review Automation: Automated review solicitation and reputation management systems
- Custom AI Solutions: Tailored automation workflows designed for specific business needs
The specific features and scope of services will be outlined in your individual service agreement.
3. User Obligations
When using our services, you agree to:
- Provide accurate, current, and complete information when submitting forms or setting up services
- Not misuse, interfere with, or attempt to disrupt our services or infrastructure
- Use our services only for lawful purposes and in compliance with all applicable laws and regulations
- Not attempt to reverse engineer, decompile, or extract source code from our technology
- Comply with all applicable telemarketing, data protection, and communication regulations when using our AI agents
Acceptable Use of Demos and Free Tools
ServiceHawk AI may offer interactive demos, free previews, or trial features on its website to showcase platform capabilities. These demos are provided for evaluation purposes only and are subject to the following restrictions:
- Rate Limits: Demo features are subject to usage limits including but not limited to the number of requests, sessions, or interactions per user, per IP address, or per device within a given time period. ServiceHawk AI reserves the right to throttle or suspend access to any user who exceeds reasonable usage thresholds.
- No Commercial Use: Demos and free tools are for evaluation only and may not be used to deliver services to third parties, generate revenue, or replace a paid subscription.
- Automated Access Prohibited: You may not use bots, scripts, crawlers, or any form of automated access to interact with demos or free tools. All demo usage must be initiated by a human user through a standard web browser.
- Abuse and Exploitation: Any attempt to exploit, reverse-engineer, or extract value from demo features beyond their intended evaluation purpose is strictly prohibited. This includes but is not limited to: creating multiple accounts to circumvent limits, manipulating demo inputs to generate deliverables, or using demo outputs for commercial gain.
- Monitoring and Enforcement: ServiceHawk AI monitors demo usage for abuse patterns. We reserve the right to block, restrict, or permanently ban any user or IP address engaged in demo abuse without prior notice.
Violation of this section may result in immediate termination of access, denial of future service, and pursuit of legal remedies where applicable.
4. AI Services Disclaimer
Our AI voice agents, chatbots, and automation tools are powered by artificial intelligence technology. While we strive for accuracy and reliability, you acknowledge and agree that:
- AI Limitations: AI technology may occasionally produce errors, inaccuracies, or unexpected responses. Our AI agents may misinterpret caller intent, provide imprecise information, or fail to properly handle edge-case scenarios.
- No Guaranteed Outcomes: We do not guarantee that our AI services will generate specific business results, revenue increases, appointment volumes, or lead conversion rates. Marketing materials describing potential results are illustrative only and not guarantees.
- Human Oversight Required: You are responsible for monitoring AI interactions, reviewing call recordings and chat transcripts, and ensuring the AI is performing to your standards. We recommend regular review of AI-handled interactions.
- Client-Provided Content: You are solely responsible for the accuracy of scripts, business information, pricing, availability, and any other content you provide for AI training and configuration.
5. Telecommunications Compliance (TCPA)
You acknowledge and agree that you are solely responsible for ensuring that your use of our AI voice agents complies with all applicable federal, state, and local telecommunications laws, including but not limited to the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and all Federal Communications Commission (FCC) regulations. Specifically:
- You must obtain all necessary consents from individuals before using our AI agents to contact them, including express written consent for marketing calls and texts.
- You must maintain accurate and current Do-Not-Call lists and honor all opt-out requests.
- You must not use our services to make unsolicited calls, send spam messages, or engage in any form of illegal telemarketing.
- You shall indemnify and hold harmless Service Hawk Systems LLC from any and all claims, fines, penalties, damages, and legal fees arising from your failure to comply with telecommunications regulations, including TCPA violations.
Service Hawk Systems LLC does not initiate calls or messages on its own behalf. All AI-powered communications are initiated at your direction and under your authority. You are the caller of record for all communications made through our platform.
6. Data Ownership and Client Content
You retain ownership of all data, content, and materials you provide to us for use with our services ("Client Content"), including business information, scripts, and customer lists. You grant us a limited, non-exclusive license to use Client Content solely for the purpose of providing and improving our services to you.
Data generated through our services on your behalf including call recordings, chat transcripts, lead information collected, and review responses belongs to you. Upon termination of services, you may request export of your data within 30 days. After 30 days, we may delete your data in accordance with our data retention policies.
We may retain anonymized and aggregated data that does not identify you or your customers for the purpose of improving our AI models and services.
7. Intellectual Property
All intellectual property rights in and to ServiceHawk AI's services, including but not limited to our software, AI models, algorithms, website design, branding, logos, content, and technology, are and remain the exclusive property of ServiceHawk AI.
You are granted a limited, non-exclusive, non-transferable license to use our services for the duration of your service agreement. This license does not transfer any ownership rights to you.
8. Payment Terms
- Billing: Services are billed on a subscription basis as outlined in your individual service agreement. Fees, billing cycles, and payment methods will be specified at the time of enrollment.
- Late Payments: Accounts with overdue payments may be subject to service suspension until the balance is resolved.
- Refunds: New subscribers are eligible for a full refund within the first 30 days of service if they are not satisfied, provided they have engaged with the onboarding process in good faith. The 30-day money-back guarantee is limited to one claim per individual, business entity, or payment method. Fraudulent or repeated refund requests across multiple accounts will be denied, and ServiceHawk AI reserves the right to refuse service to any party engaged in refund abuse. After 30 days, refund eligibility is determined on a case-by-case basis and governed by your individual service agreement. Refund requests must be submitted in writing to hello@servicehawkai.com.
- Cancellation: You may cancel your subscription in accordance with the termination provisions outlined in Section 12 of these Terms.
9. Limitation of Liability
To the maximum extent permitted by law, ServiceHawk AI and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of our services.
AI-generated results, including voice interactions, chatbot responses, and automated actions, may vary and are not guaranteed to produce specific outcomes. ServiceHawk AI's total liability for any claim arising from the use of our services shall not exceed the amount you paid for the services in the twelve (12) months preceding the claim.
10. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that our services will be uninterrupted, error-free, or that any specific results will be achieved. AI technology is continuously evolving, and performance may vary based on factors outside our control.
11. Indemnification
You agree to indemnify, defend, and hold harmless ServiceHawk AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of our services
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Any content or data you provide through our services
12. Termination
Either party may terminate the service agreement with thirty (30) days' written notice to the other party. Upon termination:
- Your access to our services will be discontinued at the end of the notice period
- Any outstanding fees owed through the termination date remain payable
- We may retain anonymized and aggregated data for analytical purposes
- Provisions that by their nature should survive termination (including limitations of liability, indemnification, and intellectual property) shall continue in effect
We reserve the right to suspend or terminate your access immediately if you breach these Terms or engage in conduct that is harmful to our services or other users.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the State of Florida.
14. Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Broward County, Florida. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction.
15. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, infrastructure failures, internet or power outages, or shortages of transportation, facilities, fuel, energy, labor, or materials.
16. Age Restriction
You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
17. Assignment
You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets without your consent. Any attempted assignment in violation of this section shall be void.
18. Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that party's right to enforce that provision or any other provision in the future. Any waiver must be in writing and signed by the waiving party to be effective.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms.
20. Entire Agreement
These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and Service Hawk Systems LLC regarding the use of our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the subject matter hereof.
